Executive Summary

Cobra Capital Limited is a strategic investment company which aims to achieve capital growth through the purchase, holding and sale of minority stakes in other companies and entities. It is intended that the Company will invest primarily in smaller capitalised companies, which are, or which are expected shortly to be, quoted on recognised investment exchanges in Europe. Investments made by the Company may be passive or active in nature, with active investments being where the Directors will seek to influence the board and management of an investee company in order to maximise the value of investment returns. The Company will typically seek to make investments and realise gains on a regular basis by only investing when an exit appears likely to be achievable over a period of months rather than years; however, the Company will not engage in day-trading. The Board will evaluate potential transactions from a wide spectrum of industry sectors, based upon the recommendations of an Investment Advisory Panel. The Investment Advisory Panel will normally prepare a written report for the Board on the proposed investee company, together with its recommendations. Based upon such recommendations, the Board will make its decision as to whether or not the Company will proceed with any particular investment. The Board will not make any investment which has not been recommended by the IAP. Prior to any investment being made by the Company, a due diligence exercise will be undertaken by or on behalf of the Company. The nature and extent of this exercise will be tailored to individual situations. The extent to which outside professional legal, accounting and other specialist advice is obtained will vary in each case, depending upon what issues arise and the nature of the investee company and its business.
