Impellam Group plc was incorporated on 21 February 2008 and was formed specifically for the purposes of acquiring both The Corporate Services Group plc and Carlisle Group Limited ("Carlisle"). Impellam has not traded or carried on business prior to the date of this document other than to enter into certain arrangements in contemplation of the merger with Carlisle and the acquisition of Corporate Services Group. Following completion of the merger with Carlisle and the acquisition of Corporate Services Group, Impellam will carry on the integrated businesses of Corporate Services Group and Carlisle. The Corporate Services Group group of companies provides its clients with temporary and permanent recruitment services and solutions and has established operations in the UK and the USA as well as a limited presence in Australia and New Zealand. Carlisles group of companies provides staffing and outsourced people-related services sector in the UK.
