Executive Summary
Ingenious Media Active Capital Limited aims to provide investors with capital growth, through its investment in significant minority (25 per cent. and above) or controlling equity and equity-related investments, in lead or co-lead investments in a portfolio of holdings (typically between T?5 million and T?25 million in size) in unquoted media companies with an enterprise value of between T?10 and T?100 million. It is the Company's intention to invest in a broad range of 'mid-stage,' high growth companies within the media sector with a view to achieving a balanced portfolio that covers a number of sub-sectors and is varied in terms of size and risk profile. Investments are likely to be predominantly, but not exclusively, in the UK. IMAC will partner with management and will seek to take at least one board seat as part of any investment. IMAC will be managed by Ingenious Ventures Limited (the \Manager\), the private equity division of the Ingenious Media Group. Since its formation, the Manager has engaged in the structuring, promotion and management of a number of investment opportunities in the media sector. Subject to the overall supervision of the Board, the Investment Team will be responsible for sourcing, evaluating, negotiating, managing and monitoring investments on behalf of IMAC. It will be drawn principally from the board of the Manager, but may also include members of the Board of Ingenious Media. The investment strategy is intended to be implemented for an initial period of 5 years. However, continuation of the investment strategy is subject to the consent of Shareholders (which is to be sought at each AGM), and, in addition, the Directors intend to seek the consent of Shareholders prior to making any material amendments to the Company's investment strategy. The Directors believe that the Company's private equity portfolio may be capable of achieving annual returns in excess of 15 per cent. per annum in the long-term.
