Executive Summary
Leo Capital plc was demerged from London Merchant Securities plc. Its objective is to achieve medium-to-long-term growth through a diversified portfolio of investments in public and private companies and funds. In order to implement this objective, the Company's strategy is to maintain and build on the existing portfolio by investing in and actively managing significant stakes in diversified range of investments. Although the criteria for investing will vary, the Company expects that: (a) the investments will be in companies and industries which the Company identifies as having potential for superior growth; (b) new investments acquired as part of this strategy will be sourced, and value will be added, by focusing on a limited number of industry sectors in which the Company and its management have prior investment experience and/or in which a major ''platform'' investment can be made. These sectors currently include applied technology, energy and industrial, healthcare and medical, media and leisure and financial services. Over time this focus will evolve with the relevant experience of the management team and the assessment of prevailing economic trends; (c) investments will be in UK and US markets and in those sectors which the business has focused on to date, although the Company is not restricted from expanding into other markets; and (d) the Company will seek to build on the network of contacts of its existing senior management. In pursuing its strategy, the Company will continue as follows: (a) to act as a supportive long-term investor, though the Board will continue to manage the Company's portfolio to create medium-to-long-term value for Shareholders. In this regard, the Company may make realisations from within the existing portfolio where it believes that the proceeds of realisation could generate better returns if deployed elsewhere; (b) to seek opportunities to obtain significant interests in portfolio companies in order to influence the creation of shareholder value in such companies; (c) to use investments in funds to complement the Company's core direct investment focus and to explore new markets; and (d) to use quoted securities to maintain investment exposure whilst providing liquidity and as a means of identifying more substantial direct investments.
