Executive Summary
Loudwater Trust Limited is a new Guernsey registered, closed-ended investment company. Investment will be in companies which are likely to achieve an IPO (typically on the London markets) or a sale within a short term time horizon and through a small number of investments in companies that are already listed. No more than 10% of the net assets of the company shall be invested in any one investment. In the majority of cases the Company will act as a passive investor with the right to a seat on the board of the investee companies should the need arise. The Company has entered into the Investment Management Agreement with Loudwater Investment Partners Limited under which Loudwater Investment Partners Limited will be responsible for sourcing, evaluating, negotiating, managing and monitoring investments on behalf of the Company, subject to the overall supervision of the Directors. The Investment Manager will also advise the Board on the proposed acquisition and divestment of investments. The Investment Manager is authorised and regulated by the Financial Services Authority. The appointment of the Investment Manager is for an initial term of 10 years. The Investment Manager's management team will comprise four individuals who between them have extensive experience in advising on and effecting IPO's and from experience as entrepreneurs, from which they have sourced potential investment opportunities for the Company.
