Executive Summary
ORA Capital Partners plc operates in the United Kingdom. The principal activity is the growth and development of Businesses in which ORA has or acquires a significant shareholding minority or majority shareholding. Following the expected completion of certain corporate actions announced recently, ORA will have four significant businesses which comprise BankOra Limited, a majority owned corporate finance and broking subsidiary, Nanoco Tech Public Limited Company, a Manchester based nanotechnology business, and Kanyon Plc and Oxeco Plc, which are AIM listed companies that have conditionally agreed to make acquisitions in solar energy and in the technology field of molecular structure determination, respectively. In addition, the Company has engaged in trading financial instruments and has smaller interests in a number of other companies. In selecting development opportunities, ORA focuses on sectors in which the Directors consider ORA to possess strengths through their collective experience, identifying specific opportunities that have the potential to meet the Company's return targets. While the current focus includes technology, financial services and resources (including renewable energy), ORA may develop Businesses in other sectors if it identifies appropriate opportunities. Such sectors may be emerging in nature, fall outside the scope of conventional financial analysis, or present opportunities due to adverse and/or volatile market conditions. In developing each of the Businesses, management will evaluate alternative capital markets, tax regulations or jurisdictions and legal structures. For example, ORA may continue to develop Businesses by incorporating subsidiaries or utilising structures such as special purpose vehicles or shell companies. Within each of its Businesses, ORA generally holds executive and/or non-executive board representation. In addition to leveraging the experience and contacts of its Directors and senior management for the strategic benefit of its Businesses, ORA may also provide advice and services to Businesses in areas such as financial reporting and controls, capital structure, corporate governance, staff recruitment and incentivisation.
