Executive Summary

Origo Resource Partners Limited is a newly incorporated Guernsey company whose principal objective is to provide Shareholders with capital appreciation primarily from investments in equity and equity-linked instruments in private, unlisted companies whose primary business is related to the natural resource sectors of China and India. The Company will be a self-managed fund with day to day investment management activities of the Company being undertaken by Chris Rynning and Niklas Ponnert, the Executive Directors. The services of the Executive Directors together with various support services (to include identifying and evaluating potential investment opportunities, assisting with preliminary deal structuring and negotiations for such opportunities and monitoring and analysing investments made by the Company) will be provided by Origo Partners Limited, the Investment Consultant, under the terms of the Investment Support Agreement. In turn, the Investment Consultant has delegated various of its duties under the Investment Support Agreement to Origo Sino-India Plc, the Sub-Consultant, under the terms of the Sub-Consultancy Agreement. The activities of the Executive Directors, the Investment Consultant and the Sub-Consultant will be monitored by the Non-Executive Directors. The Company will primarily invest in companies with significant assets in the natural resource sectors of China and India. However, as demonstrated by the trend of Chinese and Indian companies going outside the borders of their respective home countries to acquire metals, minerals and energy related assets, the Directors believe the growing demand for natural resources in China and India will be deeply intertwined with supply from international markets, in particular the emerging and resource rich markets of Africa, South-America, and South-East Asia.
