Executive Summary
Lewis Charles Romania Property Fund Limited 's objective is to generate capital gains by investing in both residential and commercial property in Romania. The life of the Fund is intended to be six years but may be extended by up to a year to seven years in total at the discretion of the Directors on the advice of Lewis Charles Securities, (the Manager of the Fund) if such an extension is deemed necessary for an orderly realisation of the Fund's assets. The life of the Fund may be further extended beyond seven years by a resolution passed by a two-thirds majority of those shareholders that vote on the relevant resolution. The Fund will be an active investor and its preferred method of investment will be through partnerships with developers. The Fund expects that such partnerships will usually take the form of a development management agreement or a joint venture with a developer. The Fund will consider taking advantage of bank borrowings. Borrowings are not expected to exceed 70% of land acquisition and development costs in respect of a particular project, save in exceptional circumstances. Investments will be limited to Romanian residential and commercial property. The Fund is structured as a closed-ended, Guernsey registered company. The Directors, all of whom are non-executive and independent of the Manager, will be responsible for supervising the Manager and the overall investment activities of the Fund. The Manager will be responsible for the management of the Group's investment portfolio and the general oversight of the Fund's affairs. The Manager has expertise in evaluating property investment opportunities by virtue of its experience as manager of the Lewis Charles Sofia Property Fund (which is listed on AIM and raised approximately Euro52 million in September 2005 to invest in property in Bulgaria). The Manager will seek to carry out appropriate due diligence in relation to any investment opportunity, and will seek to include in any proposal submitted by it to the Board.
