Executive Summary
Titanium Asset Management Corporation's intention is to pursue acquisitions of one or more operating companies engaged in the asset management industry. The directors of the Company intend to acquire a number of specialist asset management firms with complementary investment strategies which they will then manage as an integrated business. The Directors also intend to acquire one or more multiproduct asset management businesses. The Directors' intial focus is to effect one or more business combinations in the United States, however their acquisition strategy will not be limited by geography. The Company expects to be an active investor and will seek, to the extent permitted by all applicable laws, to acquire either the entirety or a majority of any target business. Alternatively, the Company may choose to acquire businesses, assets or divisions of companies. The Company intends that the first business combination will include one or more of the target businesses identified in the letters of intent entered into by the Company prior to admission. Although the Company does not currently have any definitive agreement or arrangement to acquire a target business, it has identified and entered into non-binding (other than in respect of certain limited matters, such as exclusivity) letters of intent with three potential target businesses. The Directors believe that the aggregate amount of assets currently under management of these proposed target businesses is approximately $3.5 billion. To date, the Company has had certain conversations with such potential target businesses regarding their general business and financial overview but has not received a significant amount of information in respect of any of the potential target businesses.
