The Company intends that the first business combination will include one or more of the target businesses identified in the letters of intent entered into by the Company prior to admission. Although the Company does not currently have any definitive agreement or arrangement to acquire a target business, it has identified and entered into non-binding (other than in respect of certain limited matters, such as exclusivity) letters of intent with three potential target businesses. The Directors believe that the aggregate amount of assets currently under management of these proposed target businesses is approximately $3.5 billion. To date, the Company has had certain conversations with such potential target businesses regarding their general business and financial overview but has not received a significant amount of information in respect of any of the potential target businesses.
