Executive Summary

Venteco plc has been recently established to invest in or acquire assets, businesses or companies involved in environmentally friendly pest control technologies, applications or related areas. The Company intends to focus on opportunities in Europe, the Americas and Asia, which are considered by the Directors to have the potential to generate substantial growth and profits in the short and medium terms. The Directors' initial strategy following Admission is to use the Company as a vehicle to identify and acquire or invest in one or more businesses that are suitably positioned to take advantage of the growth opportunities perceived by the Directors to exist within the environmentally friendly pest control and related markets. Investments are likely to be made by Venteco directly or through wholly or majority controlled subsidiary companies to be set up. The Directors intend to focus on such technologies because they believe that regulators, the pest control industry and customers such as food companies are looking to reduce the amount of pesticides used in connection with sanitising premises. In relation to the food industry, which is an area of focus of Venteco, this is largely driven by organisations such as the Environmental Protection Agency and the Food & Drug Administration (EPA/FDA) in the US, the European Food Safety Authority in Europe, the Food Standards Agency in the UK as well as the European Commission's Biocide Directive, which puts increasing pressure on the food industry to cut back its use of pesticides. In addition, the Directors believe that these technologies will have increasing applications in related and other sects such as restaurants, hotels, museums, offices and homes.
