Executive Summary

Vietnam Property Fund Limited is a closed-end investment company that is newly incorporated under Cayman Islands law. The Company has been formed for the purpose of investing primarily in real estate in Vietnam (which is the main country of operation). The Company's Investments will be managed by the Investment Manager, Dragon Capital Management Limited. The Company will take advantage of the Investment Manager's twelve years of real estate experience in Vietnam, and its resulting long standing relationships established at senior levels in Vietnam. The Investment Manager will provide a dedicated fund management team who will be involved in providing investment advice (including evaluation and due diligence on proposed investments) and investment realisation services. The Company will initially focus on investments in Real Estate Companies, as making investments in Real Estate Projects tends to take longer given the nature of contractual and related negotiations. However, in due course, the Company expects to allocate significant funds to Real Estate Projects. In addition to a diversified portfolio of real estate investments in Vietnam, the Company may invest up to 20 per cent. of its Net Asset Value in real estate investments located in or, in Investee Entities with substantial operations in, neighbouring countries (Laos, Cambodia and China). The Company will seek investment opportunities Real Estate Investments of at least US$3 million. However, at the discretion of the Investment Manager, the Company may make investments involving lesser amounts. The Directors presently expect to commit to the Companys net proceeds from the Placing within 18 months of Admission.
