    * Received off-market takeover offer from Waratah 
International (Asia) under which Waratah offers to acquire all  
issued shares of amex 
    * All cash takeover offer of $0.50 per amex share 
    * Amex directors unanimously recommend that shareholders 
accept offer, in absence of a superior proposal 
    * Offer values entire issued share capital of Amex at 
approximately $54 million
