Exercise of Warrants and Issue of Equity

 

 

Amur Minerals Corporation ("Amur" or the "Company"), the nickel-copper
sulphide mineral exploration and resource development company focused on the
far east of Russia, announces that, pursuant to the fund raising entered into
with Axis Capital Marketing, LTD ("Investor") on 4 November 2019 and the
subsequently announced issuance of warrants on 20 February 2020 for the fund
raising consideration, the Investor has elected to convert 5,000,000 warrants
("Warrants") at the warrant exercise price of 2.12 pence per share providing
the Company £106,000. The Investor has 5,000,000 warrants remaining.

 

Application will be made to the London Stock Exchange plc for 5,000,000 new
Ordinary Shares to be admitted to trading on the AIM market with admission
expected to occur on or around 9 February 2022. The new Ordinary Shares rank
pari passu in all respects with the existing Ordinary Shares including the
right to receive any dividend or other distribution thereafter declared, made
or paid.  There are no Ordinary Shares held in treasury. Therefore, the total
number of voting rights in the Company, following the issue of 5,000,000 new
Ordinary Shares is 1,387,872,315.
