2020 Notice of Annual General Meeting and 2019 Annual Report

 

Following the Company's announcement of Final Results issued on 25 February 2020, Petrofac Limited today announces that the 2020 Notice of Annual General Meeting and 2019 Annual Report and Accounts have been mailed or have otherwise been made available to shareholders today.  These documents are now available to view on the Company's website www.petrofac.com via the following links:

In accordance with Listing Rules 9.6.1R and 9.6.3R of the UK Financial Conduct Authority, a copy of the 2020 AGM Notice has also been submitted to the UK Listing Authority and will shortly be submitted to the National Storage Mechanism and available for inspection at: http://www.morningstar.co.uk/uk/nsm.

 

2020 Annual General Meeting (AGM)

The Company's 2020 AGM is currently scheduled to be held on Friday 15 May 2020 at at the offices of Linklaters LLP at One Silk Street, London, EC2Y 8HQ on Friday 15 May 2020 at 10.30am.

However, in light of the evolving Coronavirus (Covid-19) situation, the Board has been monitoring closely how matters are developing.  The position is changing rapidly.  The health of our shareholders, employees and stakeholders remains extremely important to us and accordingly, the Board has taken into consideration the compulsory 'Stay at Home' measures that have been published by the UK Government (https://www.gov.uk/government/publications/full-guidance-on-staying-at-home-and-away-from-others).

These measures provide that public gatherings of more than two people are currently not permitted. As a result, shareholders are not allowed to attend the Company's 2020 AGM in person and anyone seeking to attend the meeting will be refused entry.  Shareholders are requested to therefore submit their votes in respect of the business to be discussed, electronically or by post in advance, as set out in the Notice of Meeting.  Votes should be submitted via proxy as early as possible and shareholders should appoint the Chair of the meeting as their proxy. If a shareholder appoints someone else as their proxy, that proxy will not be able to attend the meeting in person or cast the shareholder's vote. 

The business at the Company's 2020 AGM will be curtailed to the formal business section only, with no wider presentations on business performance or Q and A. Our advisers and other guests have also been asked not to attend.   If any shareholder has a question they would like to pose to the Board, this should be submitted to the Chairman via agmquestions@petrofac.com.

In the event that further disruption to the AGM becomes unavoidable, we will announce any changes to the meeting (such as timing or venue) as soon as practicably possible through the Company's website.
