RECOMMENDED CASH ACQUISITION

RSA INSURANCE GROUP PLC

by

REGENT BIDCO LIMITED

 

(a wholly-owned subsidiary of Intact Financial Corporation)

 

to be effected by means of a Scheme of Arrangement under

Part 26 of the Companies Act 2006

 

DE-LISTING AND CANCELLATION OF TRADING OF RSA SHARES

 

 

Further to the announcement made by RSA Insurance Group plc (as it was prior to its re-registration as a private limited company) ("RSA") on 1 June 2021 that the Scheme has become Effective in accordance with its terms, RSA today announces that, following an application by RSA, the Financial Conduct Authority has cancelled the listing of RSA Shares on the premium listing segment of the Official List and the London Stock Exchange has cancelled the trading of RSA Shares on the London Stock Exchange's main market for listed securities, in each case with effect from 8:00 a.m. (London time) today, 2 June 2021. The RSA Preference Shares are not subject to an offer pursuant to the Scheme and will continue to be listed on the Official List of the London Stock Exchange. The terms of RSA's listed debt don't require the listed debt to be redeemed or repaid as a consequence of the implementation of the Scheme.

 

Capitalised terms used but not defined in this announcement have the meanings given to them in the scheme document published on 16 December 2020 in relation to the recommended cash offer by Regent Bidco Limited (a wholly-owned subsidiary of Intact Financial Corporation) ("Bidco") for the entire issued and to be issued share capital of RSA Insurance Group plc, effected by means of a Court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006.

The Acquisition relates to the shares of an English company and is being made by means of a scheme of arrangement provided for under English company law. A transaction effected by means of a scheme of arrangement is not subject to the tender offer or proxy solicitation rules under the US Exchange Act.
