Issuance of shares and Acquisition update
The Company is pleased to announce that further to the Company's announcement on 18 September 2017, the acquisition of Pax World Management LLC is expected to complete on 18 January 2018 following the admission of the Consideration Shares to trading on AIM which is expected to take place at 8am on 18 January 2018. The Acquisition is conditional upon, inter alia, admission of the Consideration Shares becoming effective. The combined group will have assets under management of 11.3 billion (US$15.3 billion).1
A total of 2,665,989 Consideration Shares will be issued to the Exiting Shareholders to settle part of the Initial Consideration. Application has been made to the London Stock Exchange for the Consideration Shares to be admitted to trading on AIM ("Admission").
Following admission, the number of ordinary shares in the Company in issue and number of voting rights will be 130,415,087. This figure may be used by Shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
