    * Co has conditionally agreed to issue and CCBI has 
conditionally agreed to subscribe for, convertible bonds in 
principal amount of HK$200 million 
    * Company entered into subscription agreement with CCBI, Liu 
Dong, Liu Zhihua and Excel Orient Limited
