Notification of Transactions of Person Discharging Managerial Responsibilities
(PDMR)
The notification set out below is provided under Article 19 of the Market
Abuse Regulation ('MAR').
On 1 May 2026 (the 'Grant Date'), the Company granted to Jason Windsor, Chief
Executive Officer, and Siobhan Boylan, Chief Financial Officer, Awards in the
form of conditional awards to acquire ordinary shares in the Company, under
the terms of the Company's Executive Long Term Incentive Plan (the 'LTIP
Plan').

The detail of the performance conditions for the performance shares element of
the Awards, and the underpin for the restricted shares element of the Awards,
are set out in the table below.

1 Straight line vesting occurs between threshold and maximum. 25% vesting for
threshold performance.
2 Relative TSR measured against the FTSE 350 Index.
Following engagement with shareholders in recent weeks, the Company's
Remuneration Committee has revised the implementation of the performance
shares element of the Awards to incorporate Relative TSR at a 50% weighting.
Consequently, the Net Capital Generation per share measure reduces to 50%
weighting of the performance shares element of the Awards.
The Awards will normally vest on the third anniversary of the Grant Date, only
to the extent that the performance conditions for the performance shares
element, and the underpin for the restricted shares element, have been met and
in accordance with, and subject to, the rules of the LTIP Plan. Vested awards
are subject to a holding period to the end of the fifth anniversary of the
Grant Date.
No consideration is payable on the grant or vesting of any of the Awards set
out above. The number of shares to which each Award relates will be increased
by an additional number of shares equal in value to any dividends that would
have been paid on all the shares in respect of which the Award is released,
over the period from the Grant Date to the release date.
