The Board of abrdn plc ('the Company') is pleased to announce that all the
resolutions put to its Annual General Meeting held earlier today, Wednesday 18
May 2022, were duly passed.

Other matters

 

As previously announced, we confirm that Martin Pike and Jutta af Rosenborg
did not seek re-election, and retired from the Board at the conclusion of the
meeting.

 

John Devine has been appointed Chair of the Risk & Capital Committee and
Catherine Bradley has been appointed Chair of the Audit Committee and member
of the Nomination & Governance Committee with effect from 18 May 2022.

 

We also confirm that Resolution 15, relating to the cancellation of the
Company's capital redemption reserve (the "Cancellation"), was passed as a
special resolution.  As explained in the AGM Guide, the Cancellation, which
was proposed as a matter of balance sheet management and in order to create
distributable reserves, remains subject to the confirmation of the Court of
Session in Edinburgh.

 

The total number of shares in issue at 6pm on Tuesday 17 May 2022 was
2,180,725,768 ordinary shares of 13(61)/(63) pence each.

 

Votes withheld are not a vote in law and have not been counted in the
calculation of the votes for and against each resolution, the total votes
validly cast or the calculation of the proportion of issued share capital
voted.
