Notification of Interests of Persons Discharging Managerial Responsibilities (PDMRs)
 
The notification set out below is provided in accordance with the requirements of the EU Market Abuse Regulation.
On 3 June 2019 the Company granted to Stephanie Bruce, Chief Financial Officer, an award under the terms of the following plan: 
2018 Standard Life Aberdeen plc Deferred Share Plan - Award in the form of nil-cost options to acquire ordinary shares in the Company, subject to the rules of the Standard Life Aberdeen plc Deferred Share plan and performance underpins as defined in the deed of grant and summarised in the market announcement dated 30 April 2019.  The Award has a performance condition based on the achievement of efficiency targets totalling £350m.
The Award is considered for vesting in three tranches on the first, second and third anniversary of the grant of the Award.  The vesting level for the first anniversary and second anniversary tranches is based on an assessment made by the Remuneration Committee of the progress made towards the achievement of the efficiency targets, including whether or not the baseline level of efficiency targets will be met.  The vesting level of the third anniversary tranche will be adjusted by the Remuneration Committee to ensure that the overall vesting of the award is commensurate with the final achievement against the efficiency targets.
The Remuneration Committee, having satisfied itself regarding progress made towards the efficiency targets in line with the conditions of the award, has approved the vesting level of the first tranche of the one-off award at 100%, and the first tranche of this Award vested on 22 June 2020.
No consideration was payable on the grant or vesting of the above award.  During the period from the Grant Date to the Vesting Date the award carried a right to receive an amount in additional Shares equal in value to any dividends that would have been paid on such Shares in respect of which the Award is released.  The dividend equivalent Shares are reflected in the Award vested.
