AIB Group plc announces cancellation of Warrants held by the Minister for
Finance
AIB Group plc ("AIB" or the "Company") has agreed with the Minister for
Finance (the "Minister") to cancel the 271,166,685 warrants held by the
Minister (the "Warrants") for a cash payment to the State of €390 million
(the "Warrant Cancellation"). The Warrants, which gave the Minister the right
to subscribe for ordinary shares in AIB at a specified price, were originally
granted in July 2017. A deed of warrant cancellation ("Warrant Cancellation
Deed") between AIB and the Minister was signed on 30 October 2025 to give
effect to the Warrant Cancellation.
This Warrant Cancellation follows the State's exit from AIB's share register in June 2025, marking the return of the Company to full private ownership. The Warrant Cancellation represents a further payment of €390 million((1)) to the State by AIB.
Based on AIB's capital position at 30 June 2025, AIB's fully-loaded CET1 ratio
will be reduced by approximately 70bps to 15.7% from the reported 16.4%((2)).

the State to c. €21 billion, which includes levies of c. €650 million and
other fees. The €390 million payment reflects, inter alia, the AIB share
price and the exercise price of €6.752
