Exercise of share awards PDMR dealing, EBT share purchase, RSU vesting
and total voting rights
Alpha FMC (AIM: AFM), a leading global provider of specialist consultancy
services to the asset management, wealth management and insurance industries,
announces that 1,305,522 vested share options under the Joint Share Option
Plan ("JSOP") were exercised on 24 August 2022 and shares were sold to cover
tax. A further 31,250 Restricted Stock Units ("RSU") vested and the shares
were transferred under the Company's Management Incentive Plan ("MIP").
Of the vested exercised awards, 286,343 relate to awards held by Euan Fraser
and 88,105 relate to John Paton, both persons discharging managerial
responsibilities ("PDMRs"), all of which have been exercised. Following the
vesting John Paton sold 21,136 shares to cover taxes. After exercising these
vested awards, Euan Fraser holds 778,029 MIP options and JSOP Shares awards
and he and his immediate family are beneficially interested in 286,343
Ordinary Shares representing 0.25% of the Company's total voting rights. John
Paton holds 287,398 MIP options and JSOP Share awards and he and his immediate
family are beneficially interested in 158,741 Ordinary Shares representing
0.14% of the Company's total voting rights.
The Company will satisfy these exercised share options and vested RSUs using
existing shares held in the Alpha Employee Benefit Trust ("EBT").
The Company has also been notified by Intertrust Employee Benefit Trustee
Limited, the trustee of the Company's Employee Benefit Trust ("EBT"), that on
24 August 2022, the EBT purchased a total of 254,817 Ordinary Shares in the
Company at a price of £4.425 pence per share. The shares will be held in
the EBT, a discretionary trust, and are intended to be used to satisfy the
exercise of share options by employees, including the Directors of the
Company. Ordinary Shares held by the EBT have no dividends or voting rights.
Following the above, the Company will have 120,507,336 Ordinary Shares in
issue, of which 6,546,656 are held in the Company's Employee Benefit Trust.
No shares are held in treasury. The total number of voting rights in the
Company will therefore be 113,960,680. This figure may be used by shareholders
in the Company as the denominator for the calculations by which they will
determine if they are required to notify their interest in, or a change in
their interest in, the share capital of the Company under the
FCA's Disclosure and Transparency Rules.
