Notification of Transactions of Persons Discharging Managerial Responsibilities ("PDMRs")

LONDON, United Kingdom and TORONTO, Ontario, Canada, 8 August 2025 - Alphawave IP Group plc (LSE: AWE, the "Company" or "Alphawave Semi")

This notification sets out the details of previous grants of conditional awards over ordinary shares in the capital of the Company ("Ordinary Shares") granted under the Company's Long Term Incentive Plan to certain PDMRs as follows ("Awards").

Vesting of the Awards is subject to continued employment. The Awards will vest as follows:

·      The first day of each month, starting with 1 June 2026, and ending with the 36th of such month: on each such date as to 1/48ths of the shares subject to the Award.
