    ** Assure Holdings Corp plans public offering of its common
stock 
    ** Co has not disclosed the number of shares it would offer
    ** Says it intends to use part of the net proceeds for
working capital and other business opportunities
    ** Up to Friday's close, stock had fallen 74.1% YTD
