SUBSTITUTION OF BBVA SENIOR FINANCE, S.A. UNIPERSONAL WITH BANCO BILBAO VIZCAYA ARGENTARIA, S.A.
27 December 2017. Banco Bilbao Vizcaya Argentaria, S.A. (the Substitute Issuer) hereby announces to the holders of the following notes (together, the Relevant Notes) that, with effect from and including 27 December 2017, the Substitute Issuer was substituted in place of BBVA Senior Finance, S.A. Unipersonal as issuer and principal debtor in respect of the Relevant Notes:
(a) 100,000,000 CMS Linked Notes due 2 August 2021 issued on 2 August 2006 (ISIN:XS0261728025);
(b) 165,000,000 Floating Rate to UK Inflation Linked Notes due 3 October 2036 issued on 3 October 2006 (ISIN:XS0267586617);
(c) NOK800,000,000 5.75 per cent. Notes due 22 March 2019 issued on 22 March 2013 (ISIN:XS0905254172); and
(d) 1,000,000,000 2.375 per cent. Notes due 22 January 2019 issued on 22 January 2014 (ISIN:XS1016720853).
Copies of the deed poll and legal opinions required to give effect to such substitution are obtainable from Deutsche Bank AG, London Branch by holders of the Relevant Notes.
