Banco Bilbao Vizcaya Argentaria, S.A. ("BBVA"), in compliance with the

The Board of Directors of BBVA has approved an issuance of securities
contingently convertible into newly issued ordinary shares of BBVA up to a
maximum amount of 1,500 million euros, excluding the shareholders' pre-emption
right (the "Issuance"). The specific terms of the Issuance will be
communicated by BBVA at the time it may decide to carry out its execution.
