Update regarding Proposed Funding

Board changes

 

 

Belluscura plc (AIM:BELL), a leading medical device developer focused on
lightweight and portable oxygen enrichment technology, announces that, further
to the statement issued on 12 September 2025, discussions with Omaha Value,
Inc. and a connected company called AI Ventures, Inc, regarding the proposed
fundraising, have not yet been concluded as anticipated. Discussions have
continued, however, with Omaha Value, Inc, AI Ventures, Inc and other
potential investors with a view to the refinancing of Belluscura and
Belluscura LLC, the Company's main trading subsidiary.

 

As a result, Belluscura LLC has taken steps to enable it to meet its immediate
cash requirements.  Whilst the senior management team and those employees
responsible for Sales and Shipping have been retained, to ensure the continued
fulfilment of customer orders, the employment contracts of 15 of Belluscura
LLC's 25 employees in the United States have been terminated.

 

Board changes

 

The Company also announces that Bob Rauker remains CEO of Belluscura LLC but
has resigned from the board of Belluscura with immediate effect.

 

Ric Piper, who has been a Director of Belluscura since its AIM flotation in
2021, has also resigned as a non-executive director of Belluscura with
immediate effect.

 

 

The ongoing funding discussions mean that the Company is still not yet able to
finalise the 2024 Annual Report and Accounts and as a result trading in the
Company's shares on AIM remains suspended.
