July 25 (Reuters) - Ngai Shun Holdings Ltd  1246.HK : 
 * Major and connected transaction in relation to the disposal of 49% of the issued share capital of Pearl Swirls Limited  1246.HK  
 * Deal for a total consideration of HK$80 million 
 * Consideration for the disposal will be offset by part of the debt owing to the purchaser 
 * There will be no cash proceed received from the disposal 
 * Company entered into the agreement with excellent speed limited 
 * The company expects to recognise gain on disposal of approximately hk$22.8 million
