gross proceeds of ~$10 mln
    ** Each share of common stock is accompanied by a short-term
warrant and long-term warrant, each can be used to purchase one
share of common stock at an exercise price of $0.54/shr
    ** CALA has ~74.93 mln shares outstanding and ~75.88 mln

    ** Offering is expected to close on April 1
