Conversion of Bonds

London, United Kingdom; Calgary, Canada: January 6, 2023 - Canadian Overseas
Petroleum Limited ("COPL" or the "Company") (XOP: CSE) & (COPL: LSE), an
international oil and gas exploration, production and development company with
production and development operations focused in Converse and Natrona
Counties, Wyoming, USA, has issued 2,526,846 common shares (the "Shares")
pursuant to a conversion of $200,000 principal of 2024 Bonds and $200,000
principal of 2025 Bonds exercised by two Bondholders of the July 2022 Bond
Issue.

 

Following these conversions, a total of eight 2024 Bonds and nineteen 2025
Bonds have had their principal amount converted into Shares.

2024 Convertible Bonds principal amount outstanding: $11.0 million (55 bonds)

2024 Bondholders: 5

 

2025 Convertible Bonds principal amount outstanding: $12.8 million (64 bonds)

2025 Bondholders: 4

 

Applications will be made to the FCA for these shares to be admitted to the
Official List and to the London Stock Exchange for the Shares to be admitted
to trading on the London Stock Exchange's main market for listed securities
within the next twelve months, in accordance with Listing Rule 14.3.4.
Following this issue of Shares the Company has a total of 277,858,812 common
shares issued and outstanding. There are no Common Shares held in treasury and
therefore the total number of voting rights in the Company is 277,858,812.
This figure may be used by shareholders in the Company as the denominator for
the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, the share capital of the
Company under the Financial Conduct Authority's Disclosure Guidance and
Transparency Rules.

COPL is an international oil and gas exploration, development and production
company actively pursuing opportunities in the United States with operations
in Converse County Wyoming, and in sub-Saharan Africa through its ShoreCan
joint venture company in Nigeria, and independently in other countries.

responsible with minimal gas flaring and methane emissions combined with
electricity sourced from a neighbouring wind farm to power production
