    * Company and subscriber entered into subscription agreement 
    * Co agreed to issue 300 million subscription shares at 
subscription price of hk$3.5 per subscription share 
    * Net proceeds from subscription will amount to 
approximately hk$1.02 billion 
    * Subscriber is an indirect wholly-owned subsidiary of SIHL
