Vesting of Share Award and Investment of Own Funds

Adolfo Hernandez, Chief Executive Officer

The Company confirms that the fourth tranche of shares awarded to Adolfo
Hernandez, Chief Executive Officer under the buy-out share award granted on 19
March 2024, vested on 11 March 2026.

This was a total of 125,689 Capita plc Ordinary Shares of 31p each in the
Company ("Ordinary Shares"). Adolfo Hernandez will personally fund the income
tax and national insurance liability arising upon the vesting of the fourth
tranche of his buy-out share award.  This will be calculated based on the
closing share price on 11 March, the date of vesting. For indicative purposes
only, based on the closing share price on 10 March this liability would have
equated to c.£163k.

Following vesting of these shares, Adolfo Hernandez holds a total of 629,339
Ordinary Shares representing 0.52% of the Company’s issued share capital.

The information set out below is provided in accordance with the requirements
of the UK Market Abuse Regulation.
