NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL
RESPONSIBILITY OR CONNECTED PERSONS IN ACCORDANCE WITH DTR 3.1.4R AND DTR 3.1.2R

On 27 February 2015, the following transaction took place in relation to
Ordinary shares of 2 1/15p each in the Company in respect of the following
Directors of the Company:

Andy Parker, Maggi Bell, Vic Gysin and Dawn Marriott-Sims

Deferred Annual Bonus Plan ("DABP")

The Directors below were awarded nil cost deferred share awards
under the DABP, as follows:

Andy Parker: 42,337 Ordinary Shares

Maggi Bell: 28,789 Ordinary Shares

The Directors referred to below were awarded restricted shares under the DABP:

Vic Gysin: 15,258 Ordinary Shares

Dawn Marriott-Sims: 13,463 Ordinary Shares
