THIS ANNOUNCEMENT IS BEING MADE PURSUANT TO THE REQUIREMENTS OF RULE 19.6(C)
OF THE CITY CODE ON TAKEOVERS AND MERGERS (THE "CODE"), WHICH, INTER ALIA,
REQUIRES A PARTY TO AN OFFER TO MAKE AN ANNOUNCEMENT AT THE END OF A PERIOD OF
12 MONTHS FROM THE DATE ON WHICH THE OFFER PERIOD ENDED, CONFIRMING WHETHER IT
HAS TAKEN, OR NOT TAKEN, THE COURSE OF ACTION SET OUT IN ITS STATED
INTENTIONS.

(a company indirectly owned or controlled by a consortium comprised of SPWOne
V Limited, Castelnau Group Limited ("Castelnau") and Phoenix Asset Management
Partners Limited ("PAMP"))

Rule 19.6(c) confirmation with respect to post-offer intention statements for
Dignity PLC ("Dignity")

Bidco refers to its mandatory cash offer for the entire issued and to be
issued ordinary share capital of Dignity, other than the Dignity shares
already owned or controlled by Castelnau and PAMP, which became unconditional
on 19 April 2023.

As required by Rule 19.6(c) of the Code, Bidco has duly confirmed in writing
to The Panel on Takeovers and Mergers that it has complied with its post-offer
intentions statements made pursuant to Rules 2.7(c)(viii) and 24.2 of the
Code, as originally detailed in its announcement made under Rule 2.7 of the
Code on 23 January 2023 and the offer document published on 14 February 2023,
as amended by the terms of the mandatory offer announced by Bidco on 14 April
2023.
