Resignation of Chairwoman of a Subsidiary

 

The board of directors (the "Board") of China Pacific Insurance (Group) Co.,
Ltd. (the "Company") hereby announces that on 27 August 2024, the board of
directors of China Pacific Life Insurance Co., Ltd., a subsidiary of the
Company ("CPIC Life"), received a written resignation letter from Ms. Pan
Yanhong ("Ms. Pan"). In light of her age, Ms. Pan ceased to hold the position
of chairwoman and director of CPIC Life.

 

During her tenure of office, Ms. Pan Yanhong has been conscientious and
diligent in her duties, resolutely promoting the Chang hang Transformation and
taking the initiative to change the mode of development, and has made
significant contributions to the Company's sustainable and healthy
development. The Company would like to express its sincere gratitude to Ms.
Pan for her contributions to the Company during her tenure!

 

Given that Ms. Pan's resignation will result in the number of directors on the
board of directors of CPIC Life being less than the relevant regulatory
requirements, Ms. Pan will continue to perform her duties as a director until
the appointment qualification of the new director is approved by the
regulatory authorities. CPIC Life will complete the election of the new
chairman as soon as possible in accordance with its articles of association.
