Approval of Articles of Association and Dissolution of the Board of
Supervisors

References are made to the notice of EGM (the "Notice") of China Pacific
Insurance (Group) Co., Ltd. (the "Company" or "CPIC") dated 11 August 2025 and
the announcement dated 29 August 2025 on poll results for the EGM of the
Company. Capitalised terms used herein shall have the same meanings as those
defined in the Notice unless otherwise specified. The resolution on amendments
to the articles of association of the Company (the "Articles of Association")
was considered and approved at the EGM held on 29 August 2025 and amendments
were made to the Articles of Association in accordance with the relevant
regulatory requirements and the current circumstances of the Company.

 

The Company has recently received the "Approval of the Amendments to the
Articles of Association of China Pacific Insurance (Group) Co., Ltd." (Jin Fu
(2025) No. 739) issued by the National Financial Regulatory Administration
(the "NFRA"). The NFRA has approved the amended Articles of Association of the
Company.

 

The amended Articles of Association took effect on the date of approval by the
NFRA. The full text of the Articles of Association will shortly be submitted
to the National Storage Mechanism and be available for inspection at
https://data.fca.org.uk/#/nsm/nationalstoragemechanism . A copy will also be
available shortly on the Company's website at
http://www.cpic.com.cn/gdr/gdrggen/ .

 

The resolution on dissolution of the board of supervisors was considered and
approved by the Company at the EGM.

 

From the effective date of the approval of the amended Articles of
Association, the board of supervisors shall be formally dissolved, the power
and function of which will be exercised by the Audit and Related Party
Transaction Control Committee of the Board as stipulated in the Company Law of
the People's Republic of China and the regulatory provisions. The current
supervisors of the Company shall cease to serve as supervisors and they have
all confirmed that they have no disagreements with the Company and that there
are no matters requiring notification to the Company's shareholders and
creditors.

 

During their tenures of service, all supervisors of the Company diligently and
faithfully discharged their duties, and played a material role in advancing
the refinement of the Company's governance structure as well as promoting the
Company's standardized operations and high-quality development. The Company
would like to express its sincere gratitude to supervisors for their
contributions during their tenures of service.
