    * Memorandum of Understanding in respect of the proposed 
disposals  
    * Vendor, being an indirect wholly-owned subsidiary of 
company, purchasers and company entered MOU 
    * Vendor intended to sell and purchaser a intended to 
purchase 74.33% of issued shares of ue investment 
    * Vendor intended to sell and purchaser B intended to 
purchase 6.67% of issued shares of ue investment 
    * Aggregate consideration of proposed disposals shall be 
rmb300.4 million
