Directorate Change

Conduit Holdings, the ultimate parent company of Conduit Re, a Bermuda-based
reinsurance business, today announces the appointment of Nicholas Shott as a
Non-Executive Director with effect from 4 November 2025.

Nicholas joins the Board with more than three decades of leadership and
expertise in the financial services industry. He forged a distinguished career
at Lazard, where he held key leadership positions including Vice Chairman of
European Investment Banking, Head of UK Investment Banking, and served on
Lazard's London Management Board. Throughout his career Nicholas has developed
a wealth of experience in corporate finance advisory positions. He has held
non-executive and advisory roles with FTSE-listed financial services
companies, government and major media organisations, which includes Phoenix
Group Holdings plc, where he chaired the Remuneration Committee and served on
the Audit, Nomination, and Sustainability Committees.

Rebecca Shelley, Interim Chair, Non-Executive Director commented: "I would

experience advising listed companies, including a strong background in
financial services. His financial expertise and strategic insight will be

Nicholas will serve on Conduit's Nomination and Remuneration Committees.

There is no further information required to be disclosed with respect to
Nicholas Shott's appointment pursuant to paragraph 9.6.13R of the Listing
Rules.
