Results of 2025 AGM

Conduit Holdings Limited announces the result of voting on the resolutions at
its 2025 Annual General Meeting ("AGM") held on Wednesday 14 May 2025. The
meeting considered the 16 resolutions as set out in the AGM Notice dated 9
April 2025.

Each of the resolutions was duly passed by the required majority. Resolutions
1 to 13 were passed as ordinary resolutions. Resolutions 14, 15 and 16 were
passed as special resolutions. The total number of votes received for each
resolution is set out below.

A copy of the special resolutions passed will be submitted to the National
Storage Mechanism and available for inspection at
https://data.fca.org.uk/#/nsm/nationalstoragemechanism.

The total voting rights in CHL on 14 May 2025 was 165,239,997.
