("D9" or the "Company" and, together with its subsidiaries, the "Group")
Directorate Changes
The Company is pleased to announce the appointment of Mr Eric Sanderson as
Independent Non-Executive Chair of the Company.
Mr Sanderson is a chartered accountant and former CEO of British Linen Bank,
which was the investment banking arm of the Bank of Scotland. He subsequently
was Chief Executive of Bank of Scotland's Treasury arm and a member of the
Bank of Scotland Management Board. He brings extensive non-executive
investment company board experience. Mr Sanderson is currently Non-Executive
Chair of JPMorgan Emerging Europe, Middle East & Africa Securities plc and
is also Non-Executive Chair of BlackRock Greater Europe Investment Trust plc.
He was formerly Non-Executive Chair of Schroders UK Mid Cap Fund plc
(2011-2021) and a director of Dunedin Enterprise Investment Trust plc
(1990-1997). He is also a former Chair of Dunedin Fund Managers Limited and
its parent company DFM Holdings Limited.
Mr Sanderson's appointment will be effective immediately upon receiving the
approval of the Jersey Financial Services Commission ("JFSC"), and Charlotte
Valeur will step down as Interim Chair and Independent Non-Executive Director
of the Company at that time. Following his appointment, Mr Sanderson will
become a member of the Risk, Valuation, Nomination and Management Engagement
Committees.
Mr Sanderson's appointment follows an independent external recruitment process
led by the Board's Nomination Committee. The Nomination Committee, with the
support of Mr Sanderson, is in the process of recruiting for at least one
additional Non-Executive Director to support the execution of the managed
wind-down, and a further update on this process will follow in due course. Mr
Sanderson does not hold any shares in the Company.
There are no other details that are required to be disclosed in respect of
Rule 9.6.13 of the Financial Conduct Authority's Listing Rules.
