 * Says on October 1, co entered into and closed a share purchase agreement with 
   taro pharmaceuticals inc 
 * Says agreement for sale by co to taro of all shares of zalicus 
   pharmaceuticals ltd, co's Canadian unit 
 * Received from taro payment of C$ $5 million in cash and promissory note of C$ 
   5 million with maturity date of July 1, 2017
