Nov 27 (Reuters) - Euroconsult Group SA  ECG.MC : 
    * Said on Wednesday shareholdes of Proes Consultores SA 
accepted purchase offer from Euroconsult 
    * Said acquisition of 100 percent of engineering and 
architecture company Proes is valued at 8.9 million euros 
    * Acquisition to occure in two phases, first one assumes 
exchange of 51 percent of capital into shares 
    * Exchange of remaining 49 percent to occure before Jan. 31,
