    * Reaches agreement with Bondstreet Management Group Inc. 
    * Shareholders of Bondstreet have agreed to exchange 100 pct 
of their shares for Fritz shares, based on a valuation 
determined by way of a share exchange agreement but not 
exceeding 60 pct of the outstanding Fritz Nols shares
