Notice of General Meeting

 

Further to the Company's previous announcement with regards to the Facility
Agreement, the Company announces that it has today published, and posted, a
Notice of General Meeting to its shareholders.

Whilst Conversion has not occurred, under the terms of the Facility Agreement,
the Company agreed to convene the General Meeting to seek certain authorities
necessary to permit the issue of the Conversion Shares if and when the Loan is
converted, in accordance with the Facility Agreement.

The General Meeting will be held at 11.00am on Tuesday 23 May 2023 at the
offices of the Company, 2 Europa View, Sheffield, S9 1XH.

Open Offer process for Minority Shareholders

·      As noted in the Company's announcements of 5 December 2022 and 6
April 2023, the Company intends to undertake an Open Offer to shareholders
shortly following Conversion of the Amended Facility.

·      The Company is continuing to engage with the Lenders (whose
consent is required under the Facility Agreement) to agree the size and
structure of the Open Offer, and details will be provided as and when any
Conversion occurs.

·      It is expected that shareholder approval will be required for any
such Open Offer and a further general meeting will be convened at the relevant
time to seek such approval.
