Resignation and Appointment of Independent Non-Executive Directors

The Company announces that Jose Ribeiro has advised the Board that he will
step down as Independent Non-Executive Director, Senior Independent Director,
and Chair of the Remuneration Committee of the Company with effect from 31
December 2024.

Jose's decision follows his recent appointment at Starr Insurance as
President, Asia Pacific (APAC) and Latin America (LATAM) which he will take up
on 1 January 2025. Jose has advised the Board that due to his new executive
role he will be unable to dedicate sufficient time to contribute to the
Company appropriately.

Following a process led by the Nominations Committee, and supported by an
independent executive search firm, the Company is pleased to announce the
appointment of Lynzi Harrison as an Independent Non-Executive Director of the
Company with effect from 11 December 2024.

Lynzi has over 25 years of relevant industry experience, spending 19 years in
a variety of roles with Old Mutual. Lynzi currently serves on the boards of
Omnilife Ltd, Irwin Mitchell Asset Management Limited, Personal Touch
Financial Services Ltd (part of the PRIMIS Group) and Holloway Friendly
Society, and is a non-executive member of the With Profit Committee of Utmost
L&P.

The Nominations Committee will, at its December meetings, consider and
determine who will assume the roles of Senior Independent Director and Chair
of the Remuneration Committee from 1 January 2025.

Jose Ribeiro commented:

There are no further details to be disclosed under Listing Rule 6.4.8R in
respect of Lynzi Harrison's appointment.
