Publication of a Circular

 

At the annual general meeting of The Henderson Smaller Companies Investment
Trust plc (the "Company") held on 2 October 2024 (the "2024 AGM"),
Shareholders gave authority to the Directors to buyback a total of 11,150,331
ordinary shares of 25 pence in the capital of the Company ("Ordinary Shares")
representing 14.99% of the then issued share capital. As at 4 June 2025, the
Company has bought back 6,129,437 Ordinary Shares and the authority granted at
the 2024 AGM has been substantially utilised. The Directors are therefore
seeking shareholder authority to renew the Company's share buyback authority.

The volume of share buybacks reflects the current market conditions, which the
Board view as particularly harsh. However, it is the view of the Directors
that the unusually wide discount to the NAV at which the Company's share price
currently trades presents an attractive opportunity to enhance shareholder
value through share buybacks. This opportunity can only be taken if the Board
has sufficient authority to buyback Ordinary Shares in the market.

Accordingly, the Company has today published a circular (the "Circular")
setting out further details of the proposal to renew the share buyback
authority. The Circular also includes the notice of meeting to convene a
general meeting (the "General Meeting") at which the appropriate shareholder
authority will be sought. The General Meeting will be held at 10.00 a.m. on 1
July 2025 at 201 Bishopsgate, London, EC2M 3AE.

Terms used and not defined in this announcement shall have the meanings given
to them in the Circular.
