Hipgnosis Songs Fund Limited ("Hipgnosis" or the "Company")

Change of Auditor

Hipgnosis Songs Fund is pleased to announce the appointment of KPMG Channel
Islands Limited, Guernsey ("KPMG CI") as its auditor with immediate effect for
the financial year ended 31 March 2024. KPMG CI succeed PricewaterhouseCoopers
CI LLP, Guernsey ("PWC CI"), who were the previous auditors.

The re-appointment of KPMG CI as auditor will be subject to approval by the
Company's shareholders at a General Meeting of the Company, to be convened in
due course.

The previous auditor, PwC CI, has deposited with the Company a statement
confirming that there are no matters to be brought to the attention of the
Company's members or creditors.
