("IIP" or the "Company" or, together with its subsidiaries, the "Group")

 

Director Resignation

 

Infrastructure India plc, an AIM quoted infrastructure fund investing directly
into assets in India, announces that M.S. Ramachandran is resigning from the
Board, with immediate effect.

 

Mr Ramachandran has been a long standing and supportive director of IIP.
Following the shareholder vote to remove the only other independent director
at the AGM in June, Mr Ramachandran, feels he cannot perform the required
duties as the sole independent director.

 

The Company thanks Mr Ramachandran for his many years of service and wishes
him well.

 

Following the AGM in June and today's announcement, the Board comprises Tom
Tribone, Chairman and Sonny Lulla, Chief Executive, which does not meet the
corporate governance guidance of the QCA Code.

 

Further updates will be made in due course.
