 * Company entered into the subscription agreement with the subscriber 
 * Says issue the convertible bonds in the principal amount of hk$100 million 
 * Aggregate nominal value of subscription shares and conversion shares will be hk$200 million 
 * Intends to apply net proceeds from subscription for the development of the asset management businesses in Hong Kong 
 * Cheung kwan has agreed to guarantee the performance by the subscriber of its obligations under the subscription agreement 
 * Deal for subscription price of hk$0.10 per subscription share
