ANNUAL GENERAL MEETING 2023

RESULT OF POLL AT ANNUAL GENERAL MEETING

Following the Annual General Meeting of the Company, which was held today, the
Board is pleased to announce that all of the ordinary resolutions put to
shareholders were voted on by Poll and passed. The following special business
was also voted on by poll and passed:

 

i.)         to allow the Company to allot shares up to an aggregate
nominal amount of £538,731 representing approximately 10% of the Company's
issued share capital;

 

ii.)          to allow the disapplication of pre-emption rights on the
allotment of shares;

 

iii.)       to allow the Company to make market purchases of up to
3,230,231 Ordinary shares representing 14.99% of the Company's issued share
capital; and

 

iv.)          to allow a general meeting, other than an Annual General
Meeting, to be called on not less than 14 clear days' notice.
